1 · Agreement
These Terms of Service form a binding agreement between you (the "Customer") and Kaer Labs, Inc. ("Kaer", "we", "us", "our"). By creating an account, accessing the platform, or using any service made available by Kaer, you agree to be bound by these Terms and our Privacy Policy.
If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, you must not use the services.
2 · Definitions
- Service — the Kaer platform, including the dashboard at app.kaer.ai, computer-use agent at computer.kaer.ai, chat surface at chat.kaer.ai, and all related APIs and SDKs.
- Customer Data — any data, content, or material that you upload, submit, or otherwise transmit through the Service.
- Output — content generated by the Service in response to your inputs.
- Workspace — an isolated tenant within the Service that contains your projects, members, agents, and data.
3 · Account & access
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us at [email protected] if you suspect unauthorised access. We may suspend or terminate access for violations of these Terms, including non-payment, abuse, fraudulent activity, or security risk.
4 · Acceptable use
You agree not to:
- Use the Service to violate any law, infringe any right, or harm any person.
- Attempt to gain unauthorised access to any system, account, or data.
- Interfere with the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble the Service except where permitted by law.
- Use the Service to generate spam, malware, or content designed to deceive.
- Use the Service to make automated decisions that materially affect individuals without human oversight.
5 · Customer Data & ownership
You retain all rights to Customer Data. You grant Kaer a worldwide, non-exclusive, royalty-free licence to host, store, process, and display Customer Data solely as needed to provide the Service to you. Subject to your usage rights with the underlying model providers, you own the Output generated for you.
We will not use your Customer Data or Output to train foundation models without your explicit, opt-in consent.
6 · Plans, billing, credits
The Service is offered under several plans (Free, Pro, Team, Enterprise) with monthly or annual billing cycles. Credits are consumed by agent runs, API calls, and storage operations as published on the pricing page. Unused credits do not roll over between billing periods unless your plan explicitly provides for rollover.
We may change pricing with 30 days' notice. Material changes to your billed plan take effect on the next renewal.
7 · Refunds & cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law or where Kaer has materially failed to meet our service-level commitments.
8 · Service level
We target 99.9% monthly uptime for the API and dashboard. Live status is at status.kaer.ai. Enterprise customers may have a separate Service Level Agreement that supersedes this section.
9 · Confidentiality
Each party agrees to protect the other's Confidential Information using the same degree of care it uses for its own — no less than a reasonable degree.
10 · Intellectual property
All right, title, and interest in the Service, including all software, models we operate, documentation, and brand assets, are owned by Kaer or its licensors. Nothing in these Terms transfers ownership of the Service to you.
11 · Disclaimer & liability
The Service is provided "as is" without warranty of any kind, express or implied, except where required by law. To the maximum extent permitted, Kaer's aggregate liability for any claim arising from these Terms or your use of the Service is limited to the amounts you paid Kaer in the twelve months preceding the claim.
12 · Indemnification
You agree to indemnify and hold harmless Kaer, its affiliates, and their officers, employees, and agents against any third-party claim arising out of (a) your use of the Service in breach of these Terms, (b) your Customer Data, or (c) your violation of any law or third-party right.
13 · Termination
Either party may terminate for material breach if the breach is not cured within 30 days of written notice. Sections that by their nature should survive termination (Confidentiality, IP, Liability, Indemnification, governing law) survive.
14 · Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-product notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
15 · Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware.
